1. INTRODUCTION AND ACCEPTANCE OF TERMS

Welcome to HED Construction LLC (“Company,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern all engagements for construction, remodeling, renovation, and related services (collectively, the “Services”) provided by HED Construction LLC to clients (“Client,” “you,” or “your”). By requesting a consultation, accepting a proposal, signing a project contract, submitting payment, or otherwise initiating contact regarding Services, you expressly acknowledge and agree to be bound by these Terms in their entirety. If you do not agree with any provision herein, do not proceed with engaging our Services. These Terms constitute a legally binding agreement. HED Construction LLC is a Maryland limited liability company headquartered in Severn, Maryland, founded on April 12, 2022. Our mission—“Transforming homes with quality craftsmanship and care”—is foundational to every clause within this document. These Terms complement, but do not replace, the specific written Contract executed for each project. In the event of conflict, the signed project Contract shall control.

2. SCOPE OF SERVICES

HED Construction LLC specializes in residential interior and exterior remodeling services throughout Maryland and surrounding regions. Our core service categories include:

  • Bathroom Remodeling: Comprehensive renovations encompassing layout reconfiguration, plumbing updates, tile installation, fixture upgrades, lighting, ventilation, and accessibility modifications.
  • Kitchen Remodeling: Full-scale transformations including cabinetry, countertops, backsplashes, flooring, appliance integration, electrical updates, and functional workflow optimization.
  • Deck Installation: Custom design, engineering, and construction of residential decks using pressure-treated lumber, composite materials, or hardwoods; includes railings, lighting, stairs, and adherence to International Residential Code (IRC) and local jurisdiction requirements.
  • Other Services: Basement finishing, room additions, siding replacement, window/door installation, flooring, painting, trim work, and custom carpentry. All projects are scoped explicitly within the signed Contract. HED Construction LLC reserves the right to decline projects involving hazardous materials (e.g., asbestos, lead paint) without proper abatement, structurally unsound conditions beyond the agreed scope, or work violating local ordinances. We do not perform electrical or plumbing work requiring licensed trades unless subcontracted to licensed professionals under our supervision, as disclosed in the Contract.

3. PROJECT CONSULTATION, ESTIMATES, AND CONTRACT FORMATION

Initial consultations are complimentary and intended to assess project feasibility, discuss vision, and identify preliminary requirements. Following consultation, a detailed written Proposal will be provided, valid for thirty (30) days. Proposals include scope description, material specifications, estimated timeline, cost breakdown, assumptions, and exclusions. Estimates are not binding quotes. Final pricing and scope are defined solely in the executed Project Contract. A binding agreement is formed only upon: (i) mutual signing of the Project Contract; (ii) receipt of the initial deposit; and (iii) written confirmation of project commencement date. Verbal agreements, emails, or text messages do not constitute contractual obligations. HED Construction LLC requires proof of property ownership or written authorization from the legal property owner prior to work initiation. All Contracts incorporate these Terms by reference.

4. PAYMENT TERMS AND FINANCIAL OBLIGATIONS

Payment schedules are project-specific and detailed within the signed Contract. Standard structure includes:

  • Non-refundable deposit (typically 25–35%) due upon Contract execution to secure scheduling and procure materials.
  • Progress payments tied to predefined milestones (e.g., framing completion, rough-in inspection).
  • Final payment due upon Client sign-off of completed work prior to project closeout.
    Payments accepted via certified check, bank transfer, or credit card (subject to a processing fee). Late payments incur interest at 1.5% per month (or maximum rate permitted under Maryland law) and may result in immediate work suspension without liability to HED Construction LLC. Clients will receive itemized invoices with clear due dates. HED Construction LLC complies fully with Maryland Mechanics’ Lien Law (Md. Code, Real Prop. § 9-101 et seq.). Failure to remit payment may result in filing a lien against the property after statutory notice requirements are satisfied. All costs related to collections (including attorney fees) are the Client’s responsibility.

5. CLIENT RESPONSIBILITIES

To ensure safety, efficiency, and timeline adherence, Clients agree to:

  • Provide safe, unobstructed access to the work site during agreed hours (typically 8:00 AM–4:30 PM, Monday–Friday).
  • Relocate all personal belongings, furniture, artwork, and valuables from work areas prior to commencement. HED Construction LLC is not liable for damage to items left on-site.
  • Designate one primary decision-maker for approvals, change requests, and communications.
  • Disclose known property conditions (e.g., prior water damage, structural anomalies, presence of hazardous materials) in writing before work begins.
  • Secure homeowner’s insurance coverage for the property throughout construction. HED Construction LLC carries general liability and workers’ compensation insurance; certificates available upon request.
    Failure to fulfill these obligations may cause delays, additional costs, or safety hazards, for which the Client bears responsibility.

6. CHANGES TO SCOPE, CHANGE ORDERS, AND UNFORESEEN CONDITIONS

All modifications to scope, materials, timeline, or pricing require a written Change Order signed by both parties before work commences. Verbal change requests will not be honored. If unforeseen conditions arise during work (e.g., hidden rot, outdated wiring, structural deficiencies), HED Construction LLC will:

  • Immediately halt affected work.
  • Provide written documentation (photos, description) and a detailed Change Order with revised cost/timeline.
  • Await explicit written Client approval before proceeding.
    No additional work will be performed without authorization. Change Orders become part of the binding Contract.

7. PROJECT TIMELINE, DELAYS, AND FORCE MAJEURE

Start and completion dates in the Contract are estimates based on current information. Delays may occur due to weather, material shortages, permit processing, inspections, Client-directed changes, or third-party dependencies. HED Construction LLC will communicate delays promptly and adjust schedules in good faith. Delays caused by Client actions (late decisions, payment delays, site access issues) extend the completion date and may incur additional costs. Neither party is liable for failures or delays arising from Force Majeure events beyond reasonable control, including but not limited to: acts of God, floods, fires, pandemics, war, terrorism, labor strikes, government actions, or supply chain disruptions. The affected party will notify the other within forty-eight (48) hours of the event.

8. WARRANTIES, GUARANTEES, AND DISCLAIMERS

HED Construction LLC warrants its workmanship against defects for one (1) year from the date of final Client sign-off. Manufacturer warranties on materials (e.g., fixtures, appliances, decking) are passed through to the Client; specifics provided upon installation. This warranty covers repair or replacement of defective work at our discretion. Exclusions include: damage from misuse, neglect, accidents, alterations by others, normal wear and tear, or conditions existing prior to work commencement. Warranty claims require written notice with photographic evidence within the warranty period. HED Construction LLC will inspect and remedy valid claims within a reasonable timeframe. THIS WARRANTY IS EXPRESSLY IN LIEU OF ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, TO THE FULLEST EXTENT PERMITTED BY MARYLAND LAW.

9. LIMITATION OF LIABILITY

To the maximum extent permitted by Maryland law, HED Construction LLC’s total aggregate liability arising from or related to Services—whether in contract, tort (including negligence), or otherwise—shall not exceed the total contract price paid by the Client for the specific project. In no event shall we be liable for indirect, incidental, consequential, special, punitive, or exemplary damages (including lost profits, rental income, relocation costs, or emotional distress), even if advised of the possibility thereof. This limitation applies notwithstanding any failure of the essential purpose of the limited remedies.

10. TERMINATION

Either party may terminate the Contract for material breach by providing fourteen (14) days’ written notice to cure. HED Construction LLC may terminate immediately for non-payment, abusive conduct toward personnel, unsafe site conditions created by Client, or violation of law. Upon termination, Client is obligated to pay for all Services rendered, materials ordered or installed, demobilization costs, and restocking fees. Upon receipt of all amounts due, HED Construction LLC will provide a lien waiver. Work suspension due to non-payment does not constitute termination.

11. DISPUTE RESOLUTION AND GOVERNING LAW

We prioritize respectful resolution. Clients should contact us directly to address concerns. Unresolved disputes shall first undergo mediation in Anne Arundel County, Maryland, with costs shared equally. If mediation fails, either party may pursue legal action exclusively in the state or federal courts of Anne Arundel County, Maryland. These Terms and all Contracts shall be governed by Maryland law. The prevailing party in any legal action is entitled to recover reasonable attorney’s fees and costs.

12. INTELLECTUAL PROPERTY, PRIVACY, AND COMMUNICATIONS

Designs, plans, sketches, or digital renderings created by HED Construction LLC remain our intellectual property until full project payment is received. Upon payment, a limited license for personal use on the specific property is granted. Reproduction or reuse for other projects requires written permission. Client information (contact details, property data) is used solely for project execution, communication, and legal compliance. We do not sell or share data with third parties except as necessary to perform Services (e.g., vetted subcontractors, suppliers) or as required by law. For website interactions, refer to our separate Privacy Policy. All communications regarding active projects must be in writing (email acceptable) to ensure clarity and documentation.

13. SAFETY, INSURANCE, AND SUBCONTRACTORS

HED Construction LLC maintains active general liability insurance and Maryland-required workers’ compensation coverage. Certificates available upon request. We adhere to OSHA safety standards and implement site-specific safety protocols. Clients and household members must avoid active work zones. HED Construction LLC may engage licensed, insured subcontractors for specialized tasks (e.g., electrical, plumbing, HVAC). We retain full managerial responsibility for subcontractor work quality and compliance. Subcontractor details will be disclosed in the Contract where applicable.

14. ENTIRE AGREEMENT AND AMENDMENTS

These Terms, together with the signed Project Contract and all executed Change Orders, constitute the entire agreement between the parties and supersede all prior discussions. No amendment is valid unless in writing and signed by both parties. If any provision is deemed unenforceable, the remainder of the Terms remains in full force. Section headings are for convenience only and do not affect interpretation.

BY ENGAGING HED CONSTRUCTION LLC’S SERVICES, YOU CONFIRM THAT YOU HAVE READ, UNDERSTOOD, AND VOLUNTARILY AGREED TO ALL PROVISIONS OF THESE TERMS OF SERVICE. YOU ACKNOWLEDGE THAT YOU HAVE HAD THE OPPORTUNITY TO SEEK INDEPENDENT LEGAL COUNSEL PRIOR TO SIGNING ANY PROJECT CONTRACT.
